EULA - End User License Agreement

ZeDDD USE OF SOFTWARE TERMS AND CONDITIONS

ZeDDD Group Ltd has exclusive worldwide rights to a range of Web Applications for use by commercial and non commercial businesses and individuals as governed by this agreement. This Agreement applies to ZeDDD Group Ltd and any of its agents or suppliers, here after referred to as ‘ZeDDD’

USE OF SOFTWARE
ZeDDD Applications are provided to you on an 'as is' basis and 'with all faults', without warranty of any kind from ZeDDD. You assume all risks that ZeDDD Applications are suitable or accurate for your needs and your uses of ZeDDD Applications are at your own discretion and risk. ZeDDD disclaims all express and implied warranties for ZeDDD Applications including, without limitation, any warranty of merchantability or fitness for a particular purpose. Also,
(i) there is no warranty of non-infringement, title or quiet enjoyment
(ii) you may not distribute or copy this software for any other use;
(iii) you may not modify this software or derivative works;
(iv) you may not recompile, reverse engineer, disassemble, or otherwise reducing the software to a human-perceivable form;
(v) this software, designs and brands belong to ZeDDD.
(vi) there are no warranties, for any aspect of this software ;
(vii) these services or content related to this software will not be available for any specified period of time, and

(viii LIMITATION OF DAMAGES
ZeDDD shall not be liable for any indirect, special, incidental or consequential damages or loss (including damages for loss of business, loss of profits, or the like), arising out of this agreement whether based on breach of contract, tort (including negligence), strict liability, product liability or otherwise, even if ZeDDD or its representatives have been advised of the possibility of such damages.
The disclaimer of warranty, and limited liability set forth above are fundamental elements of the basis of the bargain between ZeDDD and you.
You agree that ZeDDD would not be able to provide ZeDDD Applications on an economic basis without such limitations.

FEES
In some cases hosting or licence fees may be payable based on the ZeDDD Application and services provided. ZeDDD reserves the right to discontinue any service or access to its applications should a due payment or breach of this agreement occur, and which shall not affect ZeDDD’s right to recover any monies owning to it and associated debt recovery charges. In such event 30 Days notice will be provided unless ZeDDD deems it necessary to take immediate action

ADDITIONAL TERMS AND CONDITIONS
Use of some third party materials including software may be subject to other terms and conditions typically found in a separate licences agreement. Such other Terms and Conditions will supersede all of this agreement in the event of a conflict with the terms and conditions of this agreement.
GENERAL
This agreement and its terms and conditions are governed exclusively by the construed according to the laws of New Zealand without regard to conflicts of laws provisions thereof. Any dispute arising out or relating to this agreement shall be brought exclusively to the courts in the country of New Zealand, and you hereby consent to such jurisdiction. You agree that events may diminish the value to ZeDDD of certain proprietary interests that are the subject of this agreement. Therefore, ZeDDD may be entitled to seek equitable relief to protect its interests therein, including but not limited to injunctive relief, as well as money damages.
